Affiliate terms of service


As an authorized affiliate of Netsoft Holdings LLC (Hubstaff), you agree to abide by the terms and conditions in this Agreement.

Please read this agreement carefully before applying as an affiliate. Your application to become an affiliate indicates that you accept this Agreement and its terms and conditions.

Enrollment

You must submit an application via PartnerStack to be eligible for our Program. We will notify you of our decision within 72 hours.

We reserve the right to reject any applicant for any reason. Hubstaff employees are not eligible for the Program (collectively, the “Ineligible Applicants”).

Suppose you are initially accepted into the Program and later become an Ineligible Applicant. In that case, you must promptly notify us in writing of such status change, and this Agreement will automatically terminate as of the date that you become an Ineligible Applicant.

Payouts

All payouts are executed through PartnerStack unless we’ve made a different agreement with specific affiliates.

Affiliates will receive a 30% commission on Enterprise plans and 20% commission on all other plans on the referral's monthly subscription for 12 months. Commissions are only earned on successful transactions. Any transactions that result in chargebacks or refunds will not be paid out.

Hubstaff will withhold commissions for a period of three (3) months on all referrals. Once the three-month period ends, Hubstaff will pay out all accrued commissions for that referral and will continue to pay out future commission payments on a monthly basis.

We reserve the right to hold back payouts for as long as necessary if Hubstaff wishes to review specific referrals, commissions, or anything related to your account.

Hubstaff reserves the right to end the affiliate program without notice. In the event of the program’s closure, no commissions will be paid.

Removal from our Affiliate Program

Hubstaff reserves the right to remove affiliates at our discretion. While we can remove affiliates at any time and for any reason, most removals will be because of one of the following reasons:

  • Bidding on PPC keywords that were not approved by our affiliate team.

  • Using strategies that we deem as “spammy”.

  • Not disclosing your affiliate relationship with your audience with reasonable means.

  • Disguising your affiliate link as a coupon or deal link.

  • Posting your link on coupon & deal websites.

Social Media

You may promote Hubstaff only on social media platforms that allow affiliate links in their terms of service. You may promote Hubstaff only with the permission of the page/profile manager or administrator, or on pages/profiles that you administer or manage.

You shall not:

(a) run Facebook ads with the Hubstaff trademarks; or

(b) create a social media account that includes the Hubstaff trademarks in the page name and/or username.

Sub-Affiliates

If you use affiliate aggregators or sub-affiliate networks to promote Hubstaff, you must clearly disclose to Hubstaff where traffic from your sub-affiliates originated. All sub-affiliates promoting Hubstaff must adhere to the terms of this Agreement. Hubstaff reserves the right to withhold and/or reduce commissions from sales made through any sub-affiliate that does not comply with this Agreement.

Coupon And Deal Sites

We do not allow affiliate marketing on coupon or deal sites where the affiliate link is being disguised as a coupon or deal. We reserve the right to blacklist specific domains of coupon sites and disqualify any traffic, signups, or commissions that are generated from these sites.

Pay Per Click (PPC) guidelines

Affiliates must get written permission before running PPC campaigns with keywords that might compete with Hubstaff’s PPC campaigns. You can simply contact your affiliate manager for permission to run PPC campaigns and include the keywords you intend to bid on.

You:

(a) Shall not bid on any of the Trademarks, including any derivations, variations, or misspellings thereof, for search or content-based campaigns on Google, MSN, Yahoo, Facebook, or any other platform or network;

(b) Shall not use the Trademarks in sequence with any other keyword (e.g., Hubstaff free trial);

(c) Shall not use the Trademarks in your ad title, ad copy, display name, or as a display URL;

(d) Shall not direct link to the Website or Related Site, as applicable, from any PPC ad or use redirects that yield the same result unless you have written consent from Hubstaff;

(e) Must direct your PPC links to an actual page on your website;

(f) Must add the Trademarks as negative keywords and exclude the Trademarks from your program if you automate your PPC campaigns; and

(g) Shall not purchase search engine keywords that outrank or outbid any Trademarks.

Links

Links in your materials must:

(a) Be in accordance with this Agreement and any other specifications that Hubstaff may provide to you from time to time in connection with the Program;

(b) Link directly to the Website or Related Site, as applicable, with no redirection, site framing, pop-up windows, downloaded software, toolbars, browser plug-ins or extensions; and

(c) Not be false, misleading, or masked. Any banners and Links must come from our approved list of banners and Links provided directly to you by Hubstaff or via your PartnerStack account, and you must use only the HTML code we provide for each banner or Link.

You may not:

(a) Engage in cookie stuffing; or

(b) Tamper with any linking codes provided for sales tracking.

Specifying a valid customer

A “Valid Customer” is a real person who:

(a) Clicks a Link located on Affiliate’s website or other materials;

(b) Is directed to the Website or Related Site, as applicable;

(c) As a result of such click, completes a Hubstaff account registration for a U.S. company that is not already a Hubstaff customer or Hubstaff lead for which Hubstaff already has information (a “Registration”);

(d) Provides legitimate information at the time of such Registration; and

(e) Adds an employee to the Hubstaff account for which the Registration was completed within thirty (30) calendar days of such Registration.

Content

You shall not create, design, or operate any website in a manner that:

(a) Resembles or frames the Website or Related Site, as applicable;

(b) Distributes toolbars, browser plug-ins, extensions, or downloadable software;

(c) Redirects internet traffic to or from another website.

Liability

Hubstaff is not liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intent of harm to the Program and to our websites.

We do not make any expressed or implied warranties concerning the Program and the memberships or products sold by Hubstaff. We make no claim that the operation of the Program and/or our websites will be error-free, and we will not be liable for any interruptions caused by errors.

Terms of the Agreement

The terms of this Agreement begin once you’re accepted into the program and end once your account is terminated. Hubstaff reserves the right to modify the terms and conditions of this agreement at any time. By continuing to participate in our affiliate program, you accept any changes to our terms and conditions.

Indemnification

Affiliate shall indemnify and hold harmless Hubstaff and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors, and assigns, including those licensed or authorized by Hubstaff to transmit and distribute materials, from any liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.

Governing Law, and Jurisdiction

This agreement will be governed by and construed by the laws of the United States and the State of Indiana.
